Confidentiality Agreement (NDA)

Welcome to the Skrifts KPO LTD website (“Site”). By submitting any confidential or proprietary information to us through this Site, including via contact forms, emails, or other communications, you (“You” or “Disclosing Party”) agree to the following terms regarding confidentiality.

1. Definition of Confidential Information

“Confidential Information” means any non-public, proprietary, or sensitive information disclosed by you to Skrifts KPO LTD (“we”, “us”, “our”) through the Site, whether written, oral, electronic, or otherwise, including but not limited to business plans, strategies, financial data, client information, or other materials marked or identified as confidential.

2. Obligations of Skrifts KPO LTD

We agree to:

  • Treat all Confidential Information you disclose to us as strictly confidential.

  • Use the Confidential Information solely for the purpose of evaluating or providing management consulting services or responding to your inquiries.

  • Not disclose your Confidential Information to any third party without your prior written consent, except as required by law or to our professional advisers who are bound by confidentiality obligations.

3. Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of ours;

  • Was already lawfully in our possession prior to disclosure;

  • Is independently developed by us without reference to your Confidential Information;

  • Is received from a third party without breach of any confidentiality obligation.

4. No License or Ownership Rights

Nothing in this Agreement grants us any rights or licenses to use your Confidential Information except as expressly set forth herein. All Confidential Information remains your sole property.

5. Duration

Our confidentiality obligations shall continue for a period of [two (2)] years from the date of disclosure or until the Confidential Information no longer qualifies as confidential under Clause 3, whichever is earlier.

6. No Warranty

You acknowledge that any Confidential Information you disclose is provided “as is” without any warranty, and we do not guarantee any specific outcome or result from using such information.

7. Limitation of Liability

To the fullest extent permitted by law, Skrifts KPO LTD shall not be liable for any indirect, incidental, or consequential damages arising from your disclosure of Confidential Information.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Scotland and the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.

By submitting confidential information through our Site, you acknowledge and agree to be bound by this Confidentiality Agreement.
